Understanding Company Laws and The Basics for Listed Companies

Speaker: Daphne Ng-Quinn, Solicitor, Notary Public, Accredited Mediator (General)

Ms. Daphne Ng-Quinn is a senior lawyer and former judge in Hong Kong with more than 25 years experience in the field. She held positions of solicitor, senior solicitor, and partner for international law firms, Hong Kong law firms, and Hong Kong governmental departments. Now she is a consultant for Yu Sun Yau Mak & Lawyers, which is an agent for trademarks and patents. Also, she is a notary public, accredited mediator (general), and a civil celebrant.

She obtained her practitioner license in the Supreme Court of Hong Kong in 1985; and in 1989, 1991, and 1996, obtained her licenses in the Supreme Court of England and Wales, the Supreme Court of Australian Capital Territory, and the Supreme Court of Singapore.

Conference intro
The first day, Ms. Ng-Quinn will discuss the concepts of company laws, including (i) a company as a legal entity, (ii) separation of the board of directors, with which the control of the company rests, from the shareholders who will receive dividends from the company, (iii) various types of shares and par value of shares, and (iv) various types of companies including public companies.

The second day in the morning, she will focus on listed company, including (i) listing of public companies in the main board, the gem board and by way of introduction, (ii) directors' (including shadow directors) and management's fiduciary duties and (iii) corporate vision, ethics, goodwill and social responsibilities. There will be illustrations with cases.
In the afternoon, she will spend some time on (i) non-compliance of filing rules and listing rules, (ii) ICAC laws and cases, and (iii) FSI cases.
Q & A will be incorporated into every session by written submissions and there will be involvement of the audience to participate.
